The rules, permissions, and responsibilities governing the use of Nexventure.
These Terms of Use govern access to and use of Nexventure, including its business valuation intelligence, analytical tools, AI-assisted features, reports, workspaces, buyer, seller and advisor functionality, and related services.
1. About These Terms
These Terms of Use (“Terms”) are a legal agreement between you and Nexventure INC (“Nexventure”, “we”, “us”, or “our”) governing your access to and use of Nexventure’s websites, applications, reports, valuation tools, intelligence modules, workspaces, AI-assisted functionality, and related products and services (collectively, the “Platform”).
By creating an account, purchasing or activating access, accepting these Terms electronically, or otherwise using the Platform, you agree to be bound by these Terms and any policies incorporated into them by reference.
If you use Nexventure on behalf of a company, client, partnership, brokerage, advisory firm, or other organization, you represent that you have authority to use the Platform in that capacity and, where applicable, to bind that organization to these Terms.
If you do not agree to these Terms, you must not use the Platform.
2. Platform Purpose
Nexventure is a business intelligence and decision-support platform. It may provide business valuation estimates, valuation ranges, scenario analysis, operational observations, business-readiness assessments, risk indicators, buyer and seller intelligence, benchmarking, strategic observations, AI-assisted analysis, and other business-related tools and outputs.
Nexventure is designed to help users better understand, analyze, and explore business information. It is not intended to replace independent professional judgment, verification, due diligence, or advice where those services are appropriate.
3. Not a Certified Valuation or Professional Opinion
Nexventure does not provide certified business valuations, formal business appraisals, fairness opinions, broker price opinions, certified valuation reports, or other regulated or professionally certified valuation services.
A valuation range, multiple, score, estimate, or other output produced by Nexventure is an analytical estimate based on information available to the Platform, user-provided information, assumptions, methodologies, algorithms, models, benchmarks, and automated processing.
Such outputs do not constitute a determination of fair market value under any particular professional valuation standard and should not be represented as a certified or independently verified valuation.
Nexventure does not provide legal, accounting, tax, securities, investment, lending, fiduciary, brokerage, or other regulated professional advice.
4. Actual Business Value May Differ
The price at which a business may ultimately be sold, financed, acquired, or otherwise transacted may differ materially from any valuation estimate or analytical output generated by Nexventure.
Actual transaction value may be affected by factors including financial due diligence, quality of earnings, working capital, assets and liabilities, financing availability, deal structure, tax considerations, customer or supplier issues, buyer-specific synergies, negotiations, market conditions, representations and warranties, undisclosed information, legal matters, and other circumstances not fully captured by the Platform.
Nexventure does not guarantee any sale price, purchase price, financing outcome, transaction result, investment return, business performance, or future value.
5. Independent Verification & Due Diligence
Nexventure is not a substitute for independent due diligence.
Before making a material business, investment, acquisition, sale, financing, tax, legal, or other transaction decision, users should independently verify relevant information and obtain qualified professional assistance where appropriate.
Depending on the circumstances, this may include financial due diligence, quality-of-earnings analysis, legal review, tax review, accounting review, lender diligence, verification of representations, and independent professional valuation.
You remain responsible for evaluating whether Platform outputs are appropriate for your particular purpose.
6. Eligibility & Accounts
You must have legal capacity to enter into these Terms and use the Platform in accordance with applicable law. Nexventure is intended primarily for business and professional use and is not designed for use by children.
You are responsible for providing accurate account information, maintaining the confidentiality of your credentials, controlling access to your account, and promptly notifying Nexventure if you suspect unauthorized access or misuse.
You are responsible for activity occurring through your account to the extent permitted by applicable law.
You may not impersonate another person, create accounts using false information, circumvent access restrictions, or permit unauthorized persons to use your account.
7. Information You Provide
The quality and usefulness of Nexventure’s outputs depend substantially on the completeness, accuracy, and relevance of information submitted to the Platform.
You are responsible for information, documents, assumptions, business data, financial information, strategic context, and other materials that you submit.
You represent that, to the best of your knowledge, information you provide for analysis is not intentionally false, misleading, fraudulent, or unlawfully obtained.
Nexventure is generally not responsible for independently auditing or verifying information submitted by users unless expressly stated otherwise.
8. Third-Party, Client & Confidential Information
Nexventure may permit users to submit information concerning businesses, clients, prospective acquisition targets, sellers, buyers, or other third parties.
If you submit information that you do not personally own, you represent that you have the authority, permission, consent, contractual right, lawful basis, or other appropriate authorization necessary to provide that information to Nexventure and permit its processing for the requested services.
You are responsible for complying with any confidentiality agreement, non-disclosure agreement, professional duty, privacy obligation, contractual restriction, or other obligation governing that information.
You must not upload or process information through Nexventure if doing so would violate an NDA, confidentiality obligation, privacy right, contractual restriction, court order, or applicable law.
9. AI-Assisted Features
Certain Nexventure features use artificial intelligence and automated processing technologies, including services provided by third-party AI providers.
AI-assisted outputs may be generated using business, financial, operational, valuation, strategic, and other information submitted to or generated by the Platform.
AI-generated information may contain errors, omissions, incomplete reasoning, outdated assumptions, or interpretations that are inappropriate for a particular business or transaction.
You should review material AI-generated conclusions before relying on them and independently verify information where accuracy is important.
Additional information regarding AI processing and third-party service providers is provided in Nexventure’s Privacy Policy.
10. License to Use Nexventure
Subject to these Terms and any applicable plan limitations, Nexventure grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the Platform for lawful business purposes.
This license does not transfer ownership of Nexventure’s software, methodologies, algorithms, analytical frameworks, interfaces, models, templates, databases, scoring systems, report structures, branding, documentation, or other intellectual property.
11. Your Data
As between you and Nexventure, you retain your ownership rights in business information, financial information, documents, materials, and other content you submit to the Platform (“Customer Data”), subject to any rights belonging to third parties.
You grant Nexventure a limited right to host, store, reproduce, transmit, process, analyze, and otherwise use Customer Data as reasonably necessary to provide, operate, secure, support, maintain, and improve the Platform and to fulfill the purposes described in these Terms and the Privacy Policy.
This permission does not transfer ownership of your underlying Customer Data to Nexventure.
12. Aggregated & De-Identified Data
Nexventure may create aggregated, statistical, or de-identified information derived from Platform data where the resulting information does not reasonably identify an individual user, business, client, or other identifiable party.
Nexventure may use such aggregated or de-identified information for analytics, research, benchmarking, methodology development, algorithm improvement, AI-assisted feature improvement, product development, industry intelligence, reporting, Platform improvement, and other business or commercial purposes.
Nexventure may develop or commercialize aggregated benchmarks, statistical resources, market intelligence, research, or other products based on appropriately aggregated or de-identified information.
These rights do not give Nexventure a general right to sell or publicly disclose a customer’s identifiable confidential business information.
13. Nexventure Intellectual Property
Nexventure and its licensors retain all rights, title, and interest in and to the Platform and its underlying intellectual property.
This includes, without limitation, software, source code, object code, algorithms, calculation methods, valuation methodologies, analytical systems, scoring frameworks, data structures, interfaces, designs, report structures, templates, workflows, prompts, documentation, trademarks, branding, proprietary content, and other technology or intellectual property developed by or for Nexventure.
Except for the limited usage rights expressly granted under these Terms, no rights are transferred to you.
14. Reports & Platform Outputs
Subject to these Terms and your applicable plan, you may use reports and Platform outputs generated for you for legitimate internal business, transaction-evaluation, advisory, financing, planning, or client-related purposes.
You may reasonably share reports with relevant parties such as business owners, partners, accountants, lawyers, lenders, brokers, advisors, prospective buyers, prospective investors, or other transaction participants where appropriate, subject to applicable confidentiality, privacy, contractual, and legal obligations.
You may not represent a Nexventure report as a certified valuation, formal appraisal, fairness opinion, regulated professional opinion, or independently verified determination unless such characterization is separately supported by a qualified professional authorized to provide it.
You may not remove, conceal, or materially alter Nexventure disclaimers or legal notices in a manner that misrepresents the nature or source of a report.
You may not materially alter an output and falsely represent the altered result as having been generated by Nexventure.
15. Advisor & Professional Use
Advisors, consultants, accountants, brokers, business intermediaries, valuation professionals, and other professional users may use Nexventure in connection with client work where permitted by their plan and applicable law.
Such users remain responsible for their own professional judgment, regulatory compliance, licensing requirements, client relationships, communications, representations, recommendations, and advice.
Nexventure’s involvement does not create a professional-client relationship between Nexventure and the advisor’s client.
Professional users must not represent Nexventure as independently endorsing their advice, recommendations, valuation conclusions, brokerage services, or professional opinions.
16. Founding User, Beta & Complimentary Access
Nexventure may offer selected users complimentary, promotional, beta, pilot, trial, or Founding User access to some or all Platform features.
Unless Nexventure expressly states otherwise, Founding User access is provided for thirty (30) days without requiring payment-card information.
Nexventure may extend complimentary access at its discretion. Participation in a Founding User, beta, pilot, promotional, or trial program does not create a right to permanent free access, lifetime access, future features, or future paid products.
Early-access or beta functionality may be incomplete, experimental, unavailable, interrupted, modified, contain errors, or be removed without prior notice.
Nexventure may request feedback regarding early-access features. If you voluntarily provide feedback, suggestions, ideas, comments, or recommendations, you grant Nexventure the right to use that feedback without restriction or compensation, provided that Nexventure does not thereby acquire ownership of your underlying confidential Customer Data.
17. Paid Features, Purchases & Subscriptions
Certain reports, features, workspaces, intelligence modules, usage levels, or other Platform functionality may require payment.
Current pricing, included features, access periods, usage limits, and applicable taxes will be presented through the Platform or purchasing process.
Nexventure may introduce, remove, restructure, or change plans, pricing, features, usage limits, or subscription options from time to time. Changes will not retroactively alter a completed purchase except where permitted by applicable law or expressly agreed.
If Nexventure offers automatically renewing subscriptions, the applicable price, billing frequency, renewal terms, and cancellation mechanism will be disclosed before purchase.
Payments may be processed by third-party payment providers, including Stripe.
18. Refunds, Cancellations & Digital Services
Nexventure provides digital products and services, including access to business intelligence tools, valuation functionality, reports, analytical outputs, AI-assisted features, workspaces, and other Platform functionality.
Unless otherwise stated at the time of purchase, payments are generally non-refundable once the purchased digital service, report, analysis, access, or other Platform functionality has been made available or materially delivered to the user.
If a verified technical problem attributable to Nexventure materially prevents you from receiving or accessing a purchased service, please contact Nexventure. Depending on the circumstances, Nexventure may attempt to correct the issue, restore access, regenerate the affected output, provide an appropriate credit, or issue a refund.
A disagreement with a valuation estimate, analytical conclusion, score, scenario, AI-generated observation, recommendation, or other Platform output does not by itself constitute a technical failure or create an entitlement to a refund.
If Nexventure offers automatically renewing subscriptions, you may cancel future renewals using the cancellation method made available for the applicable subscription. Unless otherwise stated at purchase, cancellation will prevent future renewal charges but will not ordinarily result in a refund of amounts already paid for the current billing period.
If Nexventure offers a free trial, Founding User Program, promotional period, or other complimentary access that does not require payment information, expiration or termination of that complimentary access does not create a refund obligation.
Nexventure may provide refunds, credits, or other remedies in additional circumstances at its discretion. Providing a discretionary remedy in one situation does not require Nexventure to provide the same remedy in another situation.
Nothing in this section limits any refund, cancellation, chargeback, or consumer protection right that cannot lawfully be excluded, restricted, or waived under applicable law.
19. Acceptable Use / Prohibited Use
You must not use Nexventure for unlawful, fraudulent, deceptive, abusive, harmful, or unauthorized purposes.
Without limiting the foregoing, you may not:
- submit information you do not have the right to use or disclose;
- use Nexventure to violate an NDA, confidentiality obligation, privacy right, or contractual restriction;
- misrepresent Platform outputs or reports as certified or professionally verified when they are not;
- use Nexventure to facilitate fraud, money laundering, deceptive transactions, or other unlawful conduct;
- attempt to gain unauthorized access to accounts, systems, databases, or infrastructure;
- circumvent security, usage limits, access controls, or technical restrictions;
- introduce malicious software, harmful code, or disruptive technologies;
- scrape, harvest, systematically extract, or copy Platform data or content except where expressly permitted;
- reverse engineer, decompile, disassemble, replicate, or attempt to discover proprietary source code, algorithms, models, or methodologies except where such restriction is prohibited by law;
- resell, sublicense, reproduce, or commercially exploit the Platform except under a written agreement permitting such activity;
- use automated systems to access the Platform in a manner that creates unreasonable load, circumvents restrictions, or interferes with normal operation; or
- use Nexventure in a manner that infringes intellectual property rights or other rights of Nexventure or third parties.
Additional restrictions may be described in Nexventure’s Acceptable Use Policy.
20. Suspension & Termination
Nexventure may suspend, restrict, or terminate access where reasonably necessary to protect the Platform or other users, investigate suspected fraud or security issues, address non-payment, comply with law, enforce these Terms, or respond to material misuse of the Platform.
Where reasonably practical, Nexventure may provide notice before terminating an account for a curable breach, but immediate action may be taken where necessary for security, legal, fraud-prevention, or abuse-related reasons.
Upon expiration or termination, your right to access the Platform may cease or become limited. Data retention following termination is governed by Nexventure’s Privacy Policy and applicable law.
21. Platform Changes & Availability
Nexventure is an evolving technology platform. We may add, modify, improve, replace, discontinue, or restructure features and functionality over time.
Nexventure does not guarantee that every feature will remain available indefinitely or that the Platform will operate without interruption.
Temporary interruptions may occur because of maintenance, upgrades, infrastructure failures, third-party services, security events, internet conditions, or circumstances outside Nexventure’s reasonable control.
22. Third-Party Services
Nexventure relies on third-party technologies and service providers for functions such as hosting, database infrastructure, authentication, artificial intelligence, payments, analytics, and communications.
Nexventure is not responsible for independent third-party services, websites, products, or systems that you choose to access separately.
Third-party outages, changes, restrictions, or failures may affect Platform availability or functionality.
23. No Warranties
To the maximum extent permitted by applicable law, Nexventure and the Platform are provided on an “as is” and “as available” basis.
Nexventure disclaims warranties and representations of any kind, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, and reliability, to the extent such warranties may lawfully be disclaimed.
Nexventure does not warrant that Platform outputs will be complete, accurate, error-free, current, suitable for a particular transaction, or accepted by any buyer, seller, lender, investor, accountant, lawyer, broker, regulator, court, tax authority, or other third party.
24. Limitation of Liability
To the maximum extent permitted by applicable law, Nexventure and its directors, officers, employees, contractors, affiliates, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, business opportunity, goodwill, anticipated savings, data, transaction value, financing, or investment opportunity arising from or relating to use of the Platform.
Nexventure is not responsible for losses resulting from decisions made solely or primarily in reliance on valuation estimates, AI-generated content, scores, scenarios, recommendations, reports, or other Platform outputs without appropriate independent verification.
To the maximum extent permitted by applicable law, Nexventure’s aggregate liability arising out of or relating to the Platform or these Terms will not exceed the greater of: (a) the amount you paid directly to Nexventure for the specific service giving rise to the claim during the twelve (12) months preceding the event giving rise to liability; or (b) CAD $100.
The limitations in this section do not apply to liability that cannot legally be excluded or limited under applicable law.
25. Your Responsibility for Certain Claims
To the extent permitted by applicable law, you agree to be responsible for losses, liabilities, claims, costs, or expenses arising from your unlawful use of the Platform, your material breach of these Terms, information you submitted without appropriate rights or authorization, your violation of third-party rights, or your professional advice, representations, or client relationships.
This provision does not require you to assume responsibility for claims caused solely by Nexventure’s own conduct where responsibility cannot lawfully be transferred to you.
26. Privacy
Nexventure’s collection, use, processing, storage, disclosure, and protection of personal information and business information are described in the Nexventure Privacy Policy.
By using the Platform, you acknowledge that information will be processed as described in that policy, subject to applicable privacy law.
27. Governing Law & Disputes
These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict-of-law principles.
Subject to any mandatory rights or jurisdiction that cannot lawfully be excluded, disputes arising from or relating to these Terms or the Platform will be submitted to the courts of competent jurisdiction in Alberta, Canada.
Nothing in these Terms limits mandatory rights or remedies available under applicable consumer, privacy, or other laws that cannot legally be waived.
28. Changes to These Terms
Nexventure may update these Terms to reflect changes in the Platform, business practices, technology, legal requirements, pricing structures, or services.
Where a change is material, Nexventure may provide additional notice or request renewed acceptance where appropriate or required by law.
The effective date displayed at the top of these Terms identifies the current version.
29. General Terms
If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will continue in effect to the extent permitted by law.
Nexventure’s failure to enforce a provision of these Terms does not constitute a waiver of that provision or any other right.
You may not assign or transfer your rights or obligations under these Terms without Nexventure’s prior written consent, except where applicable law provides otherwise.
Nexventure may assign these Terms in connection with a merger, acquisition, corporate restructuring, financing, sale of substantially all relevant assets, or similar transaction, subject to applicable law.
These Terms, together with policies expressly incorporated by reference, constitute the agreement governing your use of the Platform regarding the matters addressed in them.
