These Terms of Use govern access to and use of the Nexventure platform, including valuation intelligence tools, strategic analysis systems, reports, advisor workflows, and related services.
Acceptance of Terms
By accessing or using Nexventure, users acknowledge that they have read, understood, and agreed to these Terms of Use, the Privacy Policy, and related platform notices or policies.
Platform Purpose
Nexventure provides strategic business intelligence, scenario-based analysis, valuation context, buyer interpretation tools, operational observations, and decision-support functionality.
The platform does not provide certified appraisals, legal advice, accounting advice, tax advice, investment advice, brokerage services, or guaranteed valuation outcomes.
Eligibility & Accounts
Users are responsible for maintaining the confidentiality of account credentials, workspace access, and platform activity associated with their accounts.
Nexventure reserves the right to suspend, restrict, or terminate accounts suspected of unauthorized activity, misuse, abuse, fraudulent behavior, or violations of these Terms.
License to Use Platform
Nexventure grants users a limited, non-exclusive, non-transferable, revocable license to access and use the platform in accordance with these Terms.
Users may not reproduce, distribute, reverse engineer, resell, scrape, replicate, or commercially exploit platform systems, methodologies, reports, or analytical frameworks beyond permitted usage.
Payments & Purchases
Certain platform features, reports, strategic intelligence layers, or advisor workflows may require payment.
Pricing, subscription structures, report access periods, workspace limitations, and feature availability may change over time without prior notice.
Due to the immediate delivery of digital intelligence, analytical outputs, and platform functionality, purchases are generally non-refundable once access, report generation, or strategic functionality has been delivered.
However, Nexventure may, at its sole discretion, provide refunds, credits, or corrective assistance in cases involving verified technical failures that materially prevented report generation or platform access.
Strategic Intelligence Limitations
Platform outputs are scenario-based estimates, analytical observations, and automated strategic interpretations generated from submitted information, modeling assumptions, estimation logic, and automated processing systems.
Users acknowledge that valuation estimates, buyer confidence observations, negotiation insights, and strategic conclusions may vary significantly depending on market conditions, financial quality, operational performance, buyer behavior, due diligence, and additional factors not captured within the platform.
White-Label & Advisor Usage
Advisors, consultants, brokerages, and firms utilizing Nexventure for client-facing workflows remain solely responsible for regulatory compliance, professional obligations, interpretation of outputs, and client communications.
Advisors may not remove, alter, conceal, or misrepresent Nexventure disclaimers, platform notices, or legal limitations associated with generated reports.
Advisors, consultants, brokerages, and white-label users utilizing Nexventure for client-facing workflows remain responsible for the accuracy of submitted information, regulatory compliance, professional communications, and any advice or recommendations provided to their own clients.
Such users agree to assume responsibility for claims, disputes, or liabilities arising from their own client relationships, submitted information, professional interpretations, or advisory activities conducted using the platform.
Prohibited Use
Users may not use Nexventure for unlawful activity, fraudulent conduct, money laundering, deceptive transactions, unauthorized data extraction, prohibited industries, or any activity violating applicable laws or regulations.
Nexventure reserves the right to investigate, suspend, restrict, or terminate access where prohibited or abusive usage is suspected.
Intellectual Property
Nexventure retains all ownership rights relating to platform software, analytical systems, scoring methodologies, intelligence frameworks, report structures, algorithms, branding, interfaces, and proprietary content.
Use of the platform does not transfer ownership of Nexventure intellectual property to users.
Data & Report Ownership
Users retain ownership of information, business details, and materials submitted through the platform.
Nexventure grants users access rights to generated reports and platform outputs for their own internal, operational, advisory, or client-facing use, subject to these Terms.
Nexventure retains all ownership rights relating to platform software, analytical systems, algorithms, methodologies, scoring frameworks, report structures, templates, and proprietary intelligence systems.
No Warranty
Nexventure is provided on an “as available” and “as is” basis without warranties of any kind, whether express, implied, statutory, or otherwise.
Nexventure does not guarantee uninterrupted operation, error-free outputs, platform availability, valuation accuracy, transaction success, or specific business outcomes.
Limitation of Liability
To the maximum extent permitted by applicable law, Nexventure shall not be liable for direct, indirect, incidental, consequential, financial, operational, investment, acquisition, negotiation, or transaction-related losses arising from use of the platform or reliance on platform outputs.
Governing Law
These Terms shall be governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict-of-law principles.
Changes to Terms
Nexventure may modify, update, or revise these Terms periodically to reflect platform changes, legal requirements, operational updates, or evolving business practices.
