PRIVACY POLICY

Your information deserves clarity, confidentiality, and responsible handling.

This Privacy Policy explains how Nexventure collects, uses, processes, stores, discloses, and protects personal information and business information when you use our websites, applications, reports, valuation tools, AI-assisted features, and related services.

Effective date: September 1, 2026

About This Privacy Policy

This Privacy Policy applies to Nexventure INC (“Nexventure”, “we”, “us”, or “our”) and to information processed through Nexventure’s websites, applications, valuation tools, intelligence modules, reports, workspaces, AI-assisted functionality, communications, and related services (collectively, the “Platform”).

Nexventure is a Canadian company operating from Alberta and may provide services to users in Canada, the United States, and other jurisdictions.

We handle personal information in accordance with applicable privacy laws. Depending on the circumstances, these may include Alberta’s Personal Information Protection Act (“PIPA”), Canada’s Personal Information Protection and Electronic Documents Act (“PIPEDA”), and applicable privacy laws in other jurisdictions.

Personal Information & Business Information

Nexventure processes both personal information and business information. These categories may overlap, but they are not always the same.

“Personal information” generally means information about an identifiable individual, such as a name, email address, telephone number, account information, online identifier, or other information that may reasonably identify a person.

“Business information” may include financial, operational, commercial, strategic, valuation, customer, supplier, ownership, transaction, and other information relating to a business. Some business information may also constitute personal information or confidential information depending on its contents and context.

Because Nexventure may process commercially sensitive information, we treat responsible handling of business information as an important part of our privacy and security practices even where that information is not legally classified as personal information.

Information We Collect

Depending on how you use the Platform, Nexventure may collect account and contact information such as your name, email address, telephone number, business name, city, province or state, country, user role, account type, plan information, account status, onboarding status, and related account activity.

We may also collect information about how you first reached or interacted with Nexventure, pages or services used, communication history, support requests, preferences, and actions taken within your account.

If you create an account using a third-party authentication provider, such as Google, we may receive information made available through that authentication process, such as your name, email address, account identifier, and other information permitted by the provider and your account settings.

Business, Financial & Valuation Information

Nexventure may collect business and financial information that you submit when using valuation, seller, buyer, advisor, intelligence, scenario, reporting, or other Platform features.

Depending on the feature, this information may include business name, industry, business type, location, years in operation, employee information, owner involvement, revenue, profitability, EBITDA, seller’s discretionary earnings, growth information, recurring revenue, customer concentration, supplier dependency, lease information, management structure, systems and processes, operational risks, market information, digital presence, strategic context, and other information relevant to business valuation or analysis.

Nexventure may also generate and retain valuation ranges, valuation multiples, confidence indicators, risk scores, strengths, weaknesses, value drivers, value reducers, opportunities, buyer considerations, scenario results, AI-generated analysis, and other Platform outputs derived from submitted information.

Reports, Workspaces & Platform Activity

Nexventure may store reports, report versions, analytical outputs, workspace information, user-provided strategic context, scenarios, AI-generated content, and other information created or saved while using the Platform.

We may also maintain records relating to report ownership, access permissions, feature access, entitlements, account activity, and actions necessary to provide, secure, troubleshoot, and administer the Platform.

Information About Other Businesses or Individuals

Nexventure may allow users to enter information relating to businesses or individuals other than themselves. For example, an advisor may enter information about a client, or a buyer may evaluate information relating to a potential acquisition target.

If you provide personal, confidential, proprietary, or third-party information to Nexventure, you are responsible for ensuring that you have the lawful authority, permission, consent, contractual right, or other appropriate basis to provide that information and to permit Nexventure to process it for the requested services.

You must not use Nexventure in a manner that violates privacy rights, confidentiality obligations, non-disclosure agreements, professional obligations, contractual restrictions, or applicable law.

Advisor & Client Information

Advisors, consultants, accountants, brokers, valuation professionals, business intermediaries, and other firms may use Nexventure in connection with services they provide to their own clients.

In those circumstances, Nexventure may act as a technology or data-processing service provider in connection with information submitted by the advisor.

The advisor or firm remains responsible for determining whether it has appropriate authority to submit client information, providing any notices or obtaining any consents required by law, protecting client confidentiality, and complying with applicable professional, regulatory, contractual, and privacy obligations.

How We Use Information

Nexventure may use information to provide and operate the Platform; authenticate users; create, maintain, and secure accounts; perform calculations and analyses; generate valuation intelligence, reports, scenarios, and AI-assisted outputs; provide customer support; process purchases and manage access; communicate with users; diagnose technical issues; prevent misuse or fraud; maintain security; comply with legal obligations; and improve Platform performance and usability.

We may also use information to maintain records of transactions, entitlements, plan access, support activity, policy acceptance, privacy choices, and other administrative events reasonably necessary to operate Nexventure.

AI-Assisted Features & OpenAI

Certain Nexventure features use third-party artificial intelligence service providers, including OpenAI, to generate analyses, observations, explanations, strategic insights, and other Platform outputs.

When you use these features, relevant information may be transmitted to and processed by the AI service provider. Depending on the feature, this may include business, financial, operational, valuation, strategic, risk, and other information submitted through Nexventure or generated by the Platform.

This means information provided to Nexventure’s AI-assisted features should not be assumed to remain solely within Nexventure’s own database infrastructure.

As of the effective date of this Privacy Policy, Nexventure uses OpenAI’s API and has not enabled voluntary API data-sharing settings for OpenAI model improvement or training. OpenAI states that API inputs and outputs are not used to train or improve its models by default unless an organization affirmatively opts in.

Third-party AI providers may update their technologies, infrastructure, retention practices, or contractual terms from time to time. Nexventure may also change or add AI service providers as the Platform evolves. We will update our disclosures where required by applicable law.

Automated Analysis

Nexventure uses automated calculations, algorithms, scoring frameworks, business rules, analytical models, scenario logic, and AI-assisted systems to produce Platform outputs.

These systems may analyze information you provide and generate valuation ranges, scores, classifications, observations, risk indicators, recommendations, scenarios, and other analytical content.

Nexventure may provide general information regarding the factors, frameworks, assumptions, and methodologies used by the Platform while protecting proprietary algorithms, software, methods, trade secrets, and intellectual property.

Automated outputs are decision-support information and should not be treated as independently verified facts or professional determinations solely because they were generated by the Platform.

Aggregated & De-Identified Information

Nexventure may create aggregated, statistical, or de-identified information derived from Platform data where the resulting information does not reasonably identify an individual user, business, client, or other identifiable party.

Nexventure may use this aggregated or de-identified information to improve valuation methodologies, analytical frameworks, algorithms, benchmarks, AI-assisted features, product functionality, research, reporting, industry intelligence, Platform performance, and other business or commercial purposes.

Nexventure may also develop and commercialize aggregated benchmarks, research, market intelligence, statistical products, or similar resources based on appropriately aggregated or de-identified information.

This does not give Nexventure a general right to sell, publicly disclose, or commercially distribute a customer’s identifiable confidential business information.

Information that has been genuinely de-identified so that it no longer reasonably identifies an individual, business, or client may be retained for research, statistical, benchmarking, analytical, and product-improvement purposes.

Payments & Transaction Information

Nexventure uses third-party payment providers, including Stripe, to process payments and related transactions.

Nexventure may maintain transaction information such as transaction status, plan information, currency, transaction amount, payment-related identifiers, Stripe customer identifiers, checkout identifiers, payment-intent identifiers, subscription identifiers, invoice identifiers, and related transaction records.

Complete payment card details are processed by the applicable payment provider rather than being directly stored by Nexventure in its primary application database.

Payment providers process information according to their own terms, privacy policies, security practices, and legal obligations.

Communications & Marketing

Nexventure may use contact information to send service-related communications such as account notices, security messages, purchase information, report notifications, support responses, Platform updates, and other communications necessary to provide the service.

Where required by applicable law, promotional emails, newsletters, product announcements, offers, and similar commercial communications will be sent based on an appropriate consent or other lawful basis.

Marketing consent is separate from acceptance of Nexventure’s Terms of Use and Privacy Policy. Users may unsubscribe from promotional emails using the unsubscribe mechanism provided in those messages.

Nexventure may use third-party email and communication providers, including MailerLite, to manage certain communications and marketing activities.

Cookies, Analytics & Similar Technologies

Nexventure and its service providers may use cookies, local storage, analytics technologies, session technologies, and similar tools to operate the Platform, remember preferences, maintain security, understand how users interact with our services, diagnose technical issues, and improve performance.

Nexventure currently uses services including Google Analytics and Microsoft Clarity. These technologies may process information such as device and browser information, approximate location, IP address, pages viewed, referral information, clicks, scrolling, interactions, session information, and similar technical or usage information.

Where consent is required by applicable law, non-essential cookies and related technologies are intended to be managed through Nexventure’s cookie and consent controls.

Additional information about cookies and tracking technologies may be provided in Nexventure’s Cookie & Tracking Policy.

Service Providers & Third Parties

Nexventure relies on third-party service providers to operate different parts of the Platform. Depending on how you use Nexventure, service providers may include:

  • Supabase – database infrastructure, authentication, and related backend services.
  • Hostinger – website and application hosting and backup infrastructure.
  • OpenAI – processing for certain AI-assisted analyses and Platform outputs.
  • Stripe – payment processing, transaction management, and billing-related services.
  • Google – authentication where Google sign-in is used and analytics through Google Analytics.
  • Microsoft – Platform analytics and interaction measurement through Microsoft Clarity.
  • MailerLite – email communications and marketing management.

Nexventure may add, replace, or change service providers as the Platform evolves. Service providers are permitted to process information for purposes connected with providing their services to Nexventure, subject to applicable contractual and legal requirements.

Where Information Is Processed & Stored

Nexventure uses infrastructure located in Canada as well as service providers that may process or store information outside Canada.

Nexventure’s primary Supabase application database and authentication infrastructure are currently hosted in the Canada Central region.

Nexventure’s Hostinger application and website hosting currently uses infrastructure in Arizona, United States, with backup infrastructure in Boston, United States.

Other service providers, including OpenAI, Stripe, Google, Microsoft, MailerLite, and their subprocessors or affiliates, may process information in the United States or other jurisdictions in accordance with their infrastructure and service arrangements.

Accordingly, information processed through Nexventure should not be understood as being stored exclusively in Canada.

Information processed in another jurisdiction may be subject to the laws of that jurisdiction and may be accessible to courts, regulators, law-enforcement authorities, or other governmental authorities in accordance with applicable law.

Nexventure takes reasonable steps intended to ensure that service providers handling information on our behalf maintain appropriate safeguards relative to the nature and sensitivity of the information being processed.

When We May Disclose Information

Nexventure may disclose information to service providers and contractors where reasonably necessary to operate and provide the Platform.

We may also disclose information where required or permitted by applicable law, legal process, court order, regulatory requirement, or valid governmental request; to investigate fraud, abuse, or security threats; to protect Nexventure, our users, or others; to enforce contractual rights; or in connection with a merger, financing, acquisition, restructuring, sale of assets, insolvency proceeding, or similar business transaction, subject to applicable law.

Nexventure does not operate a business model based on selling customers’ identifiable confidential business information to unrelated third parties.

Data Retention

Nexventure may retain account information, business information, reports, AI-generated analyses, transaction records, workspace information, and related Platform data for up to two (2) years following expiration or termination of the applicable plan or account, unless a longer period is required or permitted by law or is reasonably necessary for legal, security, fraud-prevention, dispute-resolution, financial-recordkeeping, or similar legitimate purposes.

After the applicable retention period, information may be deleted, securely destroyed, or anonymized in accordance with Nexventure’s retention practices and technical capabilities.

Some information may remain for a limited additional period in encrypted backups, system logs, security records, or disaster-recovery systems until those systems are overwritten or rotated in the ordinary course.

Aggregated or genuinely de-identified information that no longer reasonably identifies a user, business, or client may be retained for longer periods for research, analytics, benchmarking, product development, and related purposes.

Security

Nexventure uses reasonable administrative, technical, and organizational safeguards intended to protect information against unauthorized access, collection, use, disclosure, alteration, loss, misuse, destruction, or other compromise.

Safeguards may include access controls, authentication mechanisms, encrypted communications, database security controls, restricted administrative access, service-provider security measures, monitoring, backups, and other practices appropriate to the nature of the Platform.

Users are also responsible for maintaining the confidentiality of their account credentials and for promptly notifying Nexventure if they suspect unauthorized access to their account.

No internet transmission, cloud environment, database, or information-security system can be guaranteed to be completely secure, and Nexventure cannot guarantee absolute security.

Privacy Incidents

Nexventure maintains processes intended to identify, assess, investigate, and respond to privacy and security incidents.

Where an incident triggers notification or reporting obligations under applicable law, Nexventure will take the steps required by the applicable legal framework, including notifications to affected individuals or privacy regulators where legally required.

Your Privacy Rights

Depending on where you live and the privacy laws applicable to your information, you may have rights concerning personal information held by Nexventure.

These rights may include requesting information about the personal information we hold, requesting access to personal information, requesting correction of inaccurate information, withdrawing consent where processing is based on consent, requesting deletion where legally available, and asking questions or raising concerns regarding Nexventure’s privacy practices.

Privacy rights are subject to applicable legal exceptions. For example, Nexventure may be required or permitted to retain certain records for legal, security, financial, contractual, dispute-resolution, or compliance purposes.

Nexventure may take reasonable steps to verify the identity and authority of a person making a privacy request before releasing, correcting, or deleting information.

United States Privacy Rights

Certain United States state privacy laws provide additional rights to residents when the applicable law applies to a business and the relevant processing activity.

Where applicable, these rights may include the right to know or access personal information, request deletion, request correction, obtain certain information about disclosures, opt out of certain forms of sale or sharing, limit certain uses of sensitive personal information, opt out of certain automated processing, and exercise privacy rights without unlawful discrimination.

Nexventure does not assume that every United States state privacy statute applies to every Nexventure user or processing activity. Where a particular law applies, Nexventure intends to provide the rights and controls required by that law.

Sale & Sharing of Personal Information

Nexventure does not sell personal information as part of a business model in exchange for monetary payment from data purchasers.

Privacy laws in some jurisdictions use broad definitions of terms such as “sale”, “share”, or “targeted advertising” that may include certain technology-provider disclosures even where no money is exchanged.

If Nexventure engages in processing that is legally classified as a sale, sharing for cross-context behavioral advertising, or targeted advertising, and an applicable law requires an opt-out mechanism, Nexventure will provide the required notice and privacy choices.

Children

Nexventure is intended for business users and is not designed or directed toward children.

We do not knowingly seek to collect personal information from children through the Platform. If we become aware that personal information from a child has been collected contrary to applicable law, we will take appropriate steps to address the information.

Third-Party Websites & Services

Nexventure may contain links to third-party websites, applications, resources, or services.

This Privacy Policy does not govern the independent privacy practices of third parties when they process information for their own purposes. Users should review the privacy policies of third-party services they choose to use.

Changes to This Privacy Policy

Nexventure may update this Privacy Policy to reflect changes to the Platform, service providers, technology, business practices, legal requirements, or privacy practices.

When we make material changes, we may provide additional notice where appropriate or required by law.

The effective date shown at the top of this Privacy Policy indicates when the current version became effective.

Nexventure is responsible for personal information under its control and has designated a privacy contact to receive privacy-related questions, requests, and complaints.
