These Nexventure Affiliate Program Terms (“Affiliate Terms”) govern participation in the Nexventure Affiliate Program (“Program”) offered by Nexventure (“Nexventure,” “we,” “us,” or “our”). By applying to, joining, or participating in the Program, you (“Affiliate,” “you,” or “your”) agree to these Affiliate Terms, together with any additional program rules or requirements communicated by Nexventure.

1. Program Overview

The Nexventure Affiliate Program allows approved participants to introduce prospective customers to Nexventure and earn commissions on qualifying purchases attributable to their referrals.

Participation in the Program is subject to application, review, and approval by Nexventure. Submission of an application does not guarantee acceptance.

Nexventure may approve, decline, suspend, or terminate an application or participation in the Program at its discretion, subject to applicable law.

2. Eligibility and Approval

You must provide accurate and complete information when applying to the Program and keep relevant information reasonably current.

Nexventure may consider audience relevance, content quality, professional focus, promotional methods, brand alignment, and other factors when reviewing applications.

There is no minimum audience size unless otherwise stated.

Approval applies only to the person or organization approved by Nexventure and may not be transferred without our prior written consent.

3. Affiliate Links and Referral Tracking

Approved Affiliates may receive a unique affiliate link, referral code, or other tracking mechanism designated by Nexventure.

Unless otherwise specified for a particular campaign or product, the standard referral attribution window is 60 days from a prospective customer’s qualifying interaction with an Affiliate’s referral link or tracking mechanism.

Where multiple Affiliates or marketing sources are associated with the same customer, Nexventure may use the last eligible affiliate referral or another attribution method communicated for the applicable campaign.

Referral tracking can be affected by cookie settings, privacy tools, browser restrictions, device changes, customer actions, technical issues, and other factors outside Nexventure’s control. Nexventure does not guarantee that every referral can be successfully tracked.

Nexventure’s records will be used to determine referral attribution and commission eligibility, subject to correction of identifiable errors.

4. Commission

Unless Nexventure communicates a different rate for a particular product, campaign, Affiliate, or partner category, the standard Program commission is 25% of the qualifying purchase amount actually received by Nexventure.

A commission is earned only on a Qualifying Purchase.

A Qualifying Purchase generally means a legitimate customer transaction that:

  • is properly attributable to the Affiliate;
  • is for a product or service designated by Nexventure as commission-eligible;
  • has been successfully paid;
  • is not fraudulent, artificial, cancelled, refunded, disputed, or charged back; and
  • otherwise complies with these Affiliate Terms.

Taxes, refunds, credits, chargebacks, discounts, payment-processing adjustments, and other amounts not actually retained by Nexventure may be excluded from the commissionable amount.

5. Subscription and Recurring Payments

A commission on an initial purchase does not automatically create a lifetime or perpetual recurring commission entitlement.

Nexventure may designate certain subscription products, renewals, recurring payments, upgrades, or other transactions as commission-eligible and may establish a specific commission period or rate for those transactions.

The applicable commission structure will be the structure communicated by Nexventure for that product, campaign, or Affiliate arrangement.

6. Validation and Payouts

Commissions may initially be recorded as pending and are subject to verification.

Unless Nexventure specifies otherwise, qualifying commissions are subject to a 30-day validation period following the applicable customer payment.

Validated commissions are generally processed monthly.

The standard minimum payout threshold is US$50. Valid commissions below the threshold may be carried forward until the threshold is reached.

Nexventure may establish or change supported payout methods, currencies, processing schedules, thresholds, or administrative requirements.

Affiliates are responsible for providing accurate payment information and completing any identity, tax, compliance, or payment documentation reasonably required to receive payment.

7. Refunds, Chargebacks and Reversals

No commission is payable on transactions that are refunded, cancelled, charged back, fraudulent, invalid, or otherwise determined not to be Qualifying Purchases.

If a commission has already been credited or paid in relation to such a transaction, Nexventure may reverse the commission, deduct the amount from future commissions, or take other reasonable steps to correct the payment.

8. Self-Referrals

Self-referrals are permitted for approved Affiliates when the purchase is genuine and made for the Affiliate’s own legitimate use.

However, the Program may not be used primarily as a mechanism to obtain an unauthorized personal discount.

Creating multiple accounts, submitting artificial transactions, manipulating attribution, repeatedly joining or reapplying primarily to obtain commissions on personal purchases, or otherwise attempting to exploit self-referrals is prohibited.

Nexventure may reject, reverse, or withhold commissions that it reasonably determines resulted from abuse, manipulation, fraud, or artificial transactions.

9. Permitted Promotion

Affiliates may promote Nexventure through legitimate channels appropriate to their audience, including websites, blogs, newsletters, social media, video content, podcasts, educational content, professional networks, and other approved methods.

Affiliates must represent Nexventure accurately and must not make false, misleading, deceptive, or unsubstantiated statements about Nexventure, its products, business valuations, results, pricing, features, or capabilities.

Affiliates must not imply that Nexventure guarantees a particular business valuation, sale price, transaction outcome, financial result, or business outcome.

10. Affiliate Disclosures

Affiliates are responsible for clearly disclosing their affiliate relationship with Nexventure whenever required by applicable advertising, consumer-protection, endorsement, or platform rules.

Disclosures should be clear, conspicuous, and reasonably understandable to the audience.

Affiliates are responsible for complying with laws and platform policies applicable to their promotional activities.

11. Prohibited Activities

Unless Nexventure provides prior written authorization, Affiliates may not:

  • send spam or unlawful unsolicited communications;
  • use deceptive, fraudulent, misleading, or manipulative promotional practices;
  • make false or misleading claims about Nexventure;
  • impersonate Nexventure or represent themselves as employees or authorized representatives of Nexventure;
  • register domains, usernames, social accounts, or other identifiers designed to impersonate or create confusion with Nexventure;
  • bid on Nexventure trademarks, brand names, or confusingly similar terms in paid search advertising;
  • use cookie stuffing, forced clicks, hidden redirects, attribution manipulation, or similar techniques;
  • generate artificial clicks, leads, purchases, accounts, or transactions;
  • promote Nexventure through unlawful, defamatory, discriminatory, deceptive, or otherwise inappropriate content;
  • distribute unauthorized coupons or represent unauthorized discounts as Nexventure offers; or
  • interfere with Nexventure’s systems, tracking, website, application, or other Affiliates.

Nexventure may investigate suspected violations and withhold affected commissions while an investigation is reasonably conducted.

12. Nexventure Brand and Intellectual Property

Nexventure may provide approved Affiliates with logos, graphics, screenshots, descriptions, links, or other promotional materials.

Nexventure grants approved Affiliates a limited, revocable, non-exclusive, non-transferable right to use authorized Nexventure materials solely for participation in the Program.

All ownership and intellectual-property rights in Nexventure’s trademarks, technology, content, branding, and materials remain with Nexventure or their respective owners.

Affiliates may not materially alter Nexventure branding in a misleading manner or suggest sponsorship, endorsement, employment, agency, or another relationship beyond the actual affiliate relationship.

13. Reviews, Product Access and Sponsored Collaborations

Nexventure may provide selected Affiliates, creators, publishers, educators, or other partners with complimentary or temporary product access for legitimate reviews, demonstrations, educational content, or other collaborations.

Complimentary access does not require Nexventure to provide compensation and does not guarantee a sponsored collaboration.

Paid sponsorships, special campaigns, custom commission arrangements, or other collaborations may be governed by additional written terms.

Providing complimentary access does not entitle Nexventure to control an Affiliate’s genuine opinion or require a positive review.

14. Independent Relationship

Participation in the Program does not create an employment, agency, partnership, joint venture, franchise, fiduciary, or legal representative relationship between the Affiliate and Nexventure.

Affiliates operate independently and are responsible for their own activities, expenses, equipment, personnel, business obligations, licenses, taxes, and legal compliance.

Affiliates have no authority to enter into agreements, make commitments, incur obligations, or make representations on behalf of Nexventure.

15. Taxes

Affiliates are solely responsible for determining, reporting, and paying taxes, duties, levies, or other governmental charges arising from commissions or participation in the Program.

Nexventure may request tax or identity information and may withhold amounts where required by applicable law.

16. Suspension and Termination

Either the Affiliate or Nexventure may end the Affiliate’s participation in the Program.

Nexventure may suspend or terminate participation immediately where it reasonably believes there has been fraud, abuse, material misrepresentation, unlawful activity, violation of these Affiliate Terms, misuse of Nexventure’s brand, or conduct likely to materially harm Nexventure, its customers, or the Program.

Following termination, the Affiliate must stop representing themselves as a Nexventure Affiliate and discontinue unauthorized use of Nexventure affiliate materials.

Legitimate commissions earned before termination may remain payable subject to validation, refunds, chargebacks, fraud review, these Affiliate Terms, and applicable law.

17. Changes to the Program and These Terms

Nexventure may modify, update, replace, suspend, or discontinue the Program or these Affiliate Terms at any time, subject to applicable law.

Changes may include, without limitation:

  • commission rates or structures;
  • attribution windows or attribution methods;
  • qualifying products or services;
  • recurring commission eligibility;
  • payout schedules, thresholds, currencies, or methods;
  • validation periods;
  • application and eligibility requirements;
  • promotional rules;
  • tracking technology;
  • partner categories or tiers; and
  • any other Program feature, policy, or requirement.

Changes may become effective on the date specified by Nexventure. Where appropriate, Nexventure may communicate material changes through email, the Affiliate Program website, an affiliate dashboard, or another reasonable method.

Valid commissions earned before a change will generally remain governed by the terms applicable when they were earned, except where adjustment is required because of a refund, chargeback, fraud, abuse, error, legal requirement, or violation of these Affiliate Terms.

Continued participation in the Program after updated Affiliate Terms become effective constitutes acceptance of the updated Affiliate Terms.

Affiliates who do not agree with an updated version may discontinue participation in the Program.

18. Program Availability and Tracking

Nexventure does not guarantee uninterrupted availability of the Program, tracking systems, affiliate links, dashboards, websites, applications, or related services.

The Program may be changed, migrated to another provider, temporarily unavailable, or discontinued.

Nexventure will make reasonable efforts to maintain accurate records but may correct tracking, attribution, commission, or payment errors when identified.

19. Confidential Information

An Affiliate may occasionally receive non-public information from Nexventure, including information about unreleased features, campaigns, pricing, business plans, or other confidential matters.

Where information is identified as confidential or would reasonably be understood to be confidential, the Affiliate must not disclose or misuse it except as authorized by Nexventure.

20. Disclaimer and Limitation of Liability

The Affiliate Program is provided on an “as available” basis, subject to applicable law.

To the maximum extent permitted by law, Nexventure will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, goodwill, business opportunities, or anticipated commissions arising from participation in the Program.

Nothing in these Affiliate Terms excludes or limits liability that cannot lawfully be excluded or limited.

21. Privacy

Personal information collected in connection with applications and participation in the Program will be handled in accordance with the Nexventure Privacy Policy and applicable privacy laws.

Nexventure may use information reasonably necessary to administer the Program, review applications, communicate with Affiliates, prevent fraud, process payments, maintain records, and comply with legal obligations.

22. Governing Law

These Affiliate Terms are governed by the laws of the Province of Alberta and the applicable federal laws of Canada, without regard to conflict-of-law principles.

Subject to applicable law, disputes arising from these Affiliate Terms or the Program will be subject to the jurisdiction of the courts located in Alberta, Canada.

23. General Terms

If any provision of these Affiliate Terms is found unenforceable, the remaining provisions will continue in effect to the extent permitted by law.

Failure by Nexventure to enforce a provision does not waive its right to enforce that provision later.

These Affiliate Terms, together with any applicable campaign-specific or written partner terms, constitute the agreement governing participation in the Program.

If specific written terms provided by Nexventure for a campaign or Affiliate arrangement conflict with these general Affiliate Terms, the specific written terms will control for that campaign or arrangement to the extent of the conflict.

24. Contact

Questions regarding the Nexventure Affiliate Program or these Affiliate Terms may be submitted through the contact information provided on the Nexventure website.

Important: Nexventure may update these Affiliate Program Terms from time to time. Affiliates should review this page periodically for the current version.
